Sales Agreement

ZAYNO SALES AGREEMENT
Version 1.0 – Valid until June 1, 2026

This agreement applies to the collaboration between ZAYNO and sellers who sell clothing and accessories through the ZAYNO platform.

1. Registration and Admission

Sellers must have a valid Chamber of Commerce (KVK) number and comply with the rules as agreed upon in advance. Registration is done via the platform. After an intake conversation, sellers may be manually approved.

2. Commission and Promotion

The exact percentage of commission is negotiated per seller prior to approval. Sellers may pay to appear on the homepage; this price is negotiable and depends on site traffic.

3. Payments and Transaction Costs

Sellers receive their payments automatically on a daily basis via Stripe. Transaction costs (€0.50) are charged to the customer.

4. Products and Responsibilities

Only clothing and accessories are permitted. Sellers are responsible for their own products, prices, inventory, and maintaining accurate listings. Prices on ZAYNO may not be higher than on the seller’s own channels.

5. Shipping and Returns

Sellers set their own shipping policies. A return policy is required at minimum. ZAYNO and the seller are jointly responsible for processing refunds, if applicable.

6. Complaints and Disputes

Complaints are first directed to the seller. If the customer and seller cannot resolve the issue, ZAYNO will mediate. If ZAYNO refunds the customer, the seller must reimburse ZAYNO for the paid amount.

7. Warranty and Authenticity

Sellers are required to offer warranties if they do so elsewhere. Counterfeit products are strictly prohibited. If discovered, these items will be removed and reported to the appropriate authorities.

8. Duration and Termination

This agreement is valid until June 1, 2026, and is automatically renewed annually unless terminated. ZAYNO may terminate the agreement at any time. Sellers may cancel between January 1 and June 1 each year, provided they have been active for at least six months. In case of disputes, the agreement may be terminated by mutual consent.

9. Use of Brands and Content

Sellers may only use the ZAYNO logo with prior consent. All product photos may be used by ZAYNO for promotional purposes. Sellers retain ownership of their products.

10. Data and Privacy

ZAYNO and sellers must comply with GDPR. Customers can view their data via the platform. Sellers may not share the content of this agreement with third parties.

11. Applicable Law

This agreement is governed by Dutch law. Any changes to the agreement will be communicated via email.
